As of January 1, 2025, Pennsylvania officially requires all LLCs to file an annual report—a major compliance shift now in effect. If your LLC is registered in Pennsylvania or you work with clients who own one, you must act before the first filing deadline of September 30, 2025, to avoid future penalties or loss of good standing.
At FileForms, we simplify state compliance with automated annual report filing and tracking tools for businesses of every size. Below, we’ll explain what’s changed, what’s due, and how we can help you stay compliant without the hassle.
Until recently, Pennsylvania only required most entities to file a decennial report once every 10 years. But under Act 122 of 2022, Pennsylvania eliminated that outdated system and replaced it with a new annual reporting requirement, now in effect as of January 1, 2025.
This law applies to nearly all entity types—including LLCs, corporations, nonprofits, and partnerships. For Pennsylvania-based LLCs (and foreign LLCs registered to do business in PA), this is a brand-new annual compliance obligation.
LLC Annual Reports must be filed by September 30, 2025, and every year after that.
Requirement | Details |
Filing window | January 1 – September 30, 2025 |
Filing deadline | September 30, 2025 |
Filing fee | $7 (waived for nonprofit LLCs) |
Filing method | Online at file.dos.pa.gov or through FileForms |
If your LLC was formed in 2024 or earlier, your first report is due this year.
If your LLC was formed in 2025, your first report will be due September 30, 2026.
More than 120,000 businesses are registered in Pennsylvania, with LLCs making up a significant portion of those entities. Under the new law, every domestic and foreign LLC operating in PA is now responsible for filing an annual report.
This impacts a wide range of organizations—from solo entrepreneurs to large multi-entity structures—and missing the deadline could result in administrative dissolution or loss of liability protections.
While Pennsylvania will not assess penalties for late filings in 2025 and 2026, beginning in 2027, any LLC that fails to file within six months after the September 30 deadline will face:
Reinstatement is possible but comes with extra steps and fees—$35 plus $15 for each missed report. It’s far easier (and more affordable) to stay compliant from the start.
You don’t need to submit financials or tax data—just your company’s basic details:
CPAs, business attorneys, and compliance advisors are in a unique position to guide clients through this transition. Many clients still don’t know this rule is in effect—or that the Sept 30, 2025 deadline applies this year.
